It has probably a Variable Bit Rate.

    How do you convert now?

You can convert try to h264 video with variable bitrate using 2-pass encoding or constant quality/rate factor. Use for example vidcoder and configure the encoding settings under the settings and the video tab.

  4. The values that MediaInfo reports can be wrong -- it mostly just reports the values in the header. Use Bitrate Viewer instead. It will parse the video and report more accurate information.

You can't use bitrate to compare the quality of different videos. Different codecs, different settings, and even different videos have different bitrate requirements.

A variable bitrate file will have more than the average bitrate in some shots, less than the average in others.
