Making Ass MP4 (Or MKV) Hardsubs

I want to join videos with subtitles. But I can't seem to make the quality as best as the original file and since it's anime it has a lot of colors and the final video has lost it's vivid colors and is kind of blurry (and a large size also...)

I used Virtualdubmod with the Textsub and Xvid codecs with a twopass method.

I want to make them to MP4(h264) but I searched for a few days but I can't seem to find anything about it.

So I am wondering if anybody could tell me this.

How to make from AVI(Xvid),MKV,MP4 to MP4(h264) with hardsubbed Ass subtitles. If it's a problem I can convert all files to AVI(Xvid) so if from AVI(Xvid) to mp4 is easier I don't mind either.

The catch: My computer is several generations old. Do I lose quality or it just takes longer? Because time I have, money for upgrade I don't.
