    I want a converter from MKV to AVI which will retain subtitles and dual audio facility. Pls. help me out..

    I doubt you will find any such tool. Maybe format factory.

    Or just use mkvconvert. Then demux the audio and sub from the mkv with mkvtoolnix and add to the avi with avimuxgui.
