Help convert avi to WD HD Player -Playable format

Hi,

I have raw avi file capture from DigiHi8 tap using Sony Handycam. This is captured during 2004 and before.

I need the following things to do.
1) I wanted to convert it to best video/audio quality format(may be like mpeg4 or etc.). I have Western Digital HD Video player where I can plug my external harddisk to play it).
2) I have my timestamp info in that captured avi and need to extract it and would like to add it as subtitile1.

Pls tell me which tools I can use of to do the above and which format would be suitable for the above.

I have 2 GB RAM and winXP. Attached is the avi file info.

Convert to mkv or mp4 with h264 video and aac audio using Handbrake.

Try extract the subtitle from the dv-avi using DV_Datecode, DV Sub Maker and then add the sub to the mkv using mkvtoolnix or mp4 using yamb. I'm not sure if a wd supports sub in mkv or mp4 though.
