I have seen British AC Ace's with Ford 260's, 289's, 427's and 429's in them. One might have even been a side-oiler.

Well the main thing to see if your CPU is bad is what gets displayed on the screen ?? If its active for five seconds(?) you should be seeing something about post and ram testing etc etc. If nothing gets displayed on the screen then perhaps it is the CPU. 5 secs sounds like enough time to warm up to critical temp and then shut down. This may or may not be erroneous. If the CPu is truly FUBAR then the PC will shut down instantly/fail to power on.
I would check CPU heatsink, Fan and Fan connectors to MB.. whether 3 or 4 pin or RPM controlled.??Corned beef is now made to a higher standard than at any time in history.

Bad CPU!!!
I received the replacement earlier this afternoon, fired right up, installed XP Pro x64 & all is good.
Just my luck i would get the 1 in a million new bad CPU
By the time i posted i was already to the point of assuming it was probably the CPU but figured i may as well try because ya never know.
And i did get some other good ideas of what it could be that never occurred to me.

this is good to hear..I have a desktop that is behaving the same way..one of the clips broke off on the heatsink so I used a plastic zip tie to hold the spring arm down, but apparently it isn't doing the job right b/c it's powering down randomly after a few seconds of use
. The heatsink mount is part of the motherboard though so It looks like I'm stuck! oh well it was an old desktop anyways...

Buy an aftermarket heatsink and fan that screws to an adapter on the back of the motherboard. Hopefully you haven't fried anything already.
