448k/5.1=89 k ? = 128k aac ?
Most (if not all) AAC decoders should be able to automatically downmix a 5.1 to 2.0. So you wouldn't necessarily need to conver to 2.0 (though you do need to keep a higher bitrate for more channels).
You would still need to convert, though, if your players don't like AC3. What are we talking about here-- ipod-like devices...car players...?

Latest Audacity will import/export ac3 files, so import the ac3 and convert to 2-ch stereo wav or mp3...If you need AAC/m4a then as Expenguin17 stated you can use Nero AAC encoder and convert the wav(s)..I use foobar2k, there's also dBpoweramp, and others as well..

There are many programs that can covert AC3 to AAC Stereo 2.0, but it looses the surround information. To keep the 5.1 information you need a Dolby Prologic II encoder like Surcode DD Prologic II Encoder http://www.minnetonkaaudio.com/products/surcode04.html or AZID or a newer revived prog...>Handbrake</a>http://handbrake.fr/ This program is great and works on windows XP, 7, Lunux and Mac OSX !!!
