    I'm using virtualdub to merge videos but it says that the sampling rate is not the same but I have made both videos the same frame rate of 23.9700

    perhaps your message is referring to audio, rather than video?

    my first video has no audio but the 2nd video has audio. Do both video must have audio?

    Blank audio and no audio are different things. Doing what baldrick suggested above will remove the audio; this won't work unless you remove the audio for the 2nd clip as well.

    You need to add blank audio to the clip that has no audio, the same specs as the 2nd audio (channels, sampling rate etc...). You can do this with avisynth, then mux it with the 1st clip using avimuxgui. I think you can generate blank audio with audacity as well. Please post the the mediainfo on the 2 clips (view=>text)
