i have an .avi at 25 fps which i want to re encode to .avi 29.97?
is their a program to help do this?

You should avoid changing the frame rate if at all possible. If you are making a DVD encode at 25 fps progressive with a 720x480 frame size. Then use DgPulldown to add 25->29.97 fps pulldown flags.
