Please, best options for mencoder? (high quality reencodings and no blocks)

Like, you get a video file, and this file is not blocked.

Please, no h264 in-loop deblocking, but if there is no way to get a video file and reencode it to a different codec than h264 and the resulting video file has blocks, so I think my only option is reencode the video to h264.

Like, I have two files, one is a DivX [DX50] file and the other one is an XVID. The first one (DIVX) I would like to crop (remove black borders) and re-scale it and the second one I just want to reduce its bitrate reducing it's size.

Any codec, like mpeg4 (libavcodec) or standard xvid (not from libavcodec) and please tell me about quantitizer values and if I need to use 2pass encoding.
