  1. i have audio everywhere else. media player, soundlab, etcc...

    what else could it be.

    g-spot the file and confirm. Type 1 or type 2 ? They store audio differently, and not all editors handle both types well.

    g-spot is a stand-alone program that tells you what codecs have been used, as well as a lot of other useful information about the contents of a video file. You can find it by clicking on it's name in my post.

  5. ok, so i have it. i'm all good with my hz and all. says my comp is all codec up to date.

    what is this mean?

    It means you are missing the codec for CS3 to read AAC audio. I would reinstall Premiere to see if that fixes it.
