I also plan on overclocking the mobo and video card. From my past experience I don't often notice too much difference from upgrades.

Your old 5700GT is too old to make the above graphics chart. But you can look at some older versions:

It should be faster, at least for encoding, more due to the two cores, memory upgrade and the SATA drives than just the CPU speeds. And that depends somewhat on the programs used.
As far as overclocking, depends on your CPU version, motherboard brand and model, memory specs and video card.
I assume a 4200+ Windsor CPU. You will likely need a different CPU cooler than the stock AMD for any aggressive OCing. Watch your temps closely. -
When I went from a P4 2.7G to an X2 2G, DVD Rebuilder (and Henc) completely ate it up. I got more than a double performance boost with encoding, even though I was previously using HT with the P4.
