help tried everything to sync audio when converting to mp4

hi, during the last few days i have been trying to convert a divx avi file to mp4 for my ipod, i have divx installed on my pc and i am using two programs which are "xilisoft mp4 converter 3" and "ultra mp4 video converter" i used "gspot" to find out the information in the divx avi file and i found out that the audio is vbr and the video frame rate is 29.97 and when i go to convert the video i put the settings to 29.97 and audio to 128 at 44100 and the audio in the output mp4 file is ahead by like 3 seconds roughly and its not like it goes out gratualy it is out of sync from the start and it doesnt matter if i encode it to h.264 or just the normal mpeg4 it still comes out the same result. i have tried changing the frame rate of the conversion to 23.976 instead of the origanal 29.97 and it still is out of sync. please help this is really annoying me
