Hello
I have a avi file in some other language with 29.97fps. I found the same file in avi format with english audio but horrible video ,fps 23.976. So, I extracted the english audio from second file and saved as wav and multiplexed it with first video using virtual dub. But now the audio has gone totally out of sync at all places , at some places by 5 minutes. I sync it at one place but the rest of the file still is out of sync.
How do I fix the audio sync.

Did you check in VD that the audio and video files are the same length? I suspect one of them may have been edited at some point if the sync error changes.
I use VD Mod, as it seems to handle audio better. You could also be dealing with VBR audio, though VD should have told you that.
