I live in Holland, and as most countries in EUROpe
we can use either PAl and NTSC....
When i convert i automatically use PAL...
is there any noticable difference between the 2 methodes...??

No not really. Pal runs %4 faster than ntsc, and as a result the pitch of the audio is also %4 higher, something which can be corrected if need be. In almost all cases this speed and pitch difference is imperceptible to even the most scrutinizing eyes and ears.
Some sources do not transfer well to pal. This is often the case with sources where music is of the most concern. A perfect example is Pink Floyd's The Wall. Any pink floyd fan will notice that the music just doesnt sound the same due to the altered pitch but cases like this are pretty rare.
If you live in a country that primarily uses pal than I would stick with pal, even if your tv does support ntsc. -

But you mentiond that the audio quality "sort of" increases be 4%..
what i notice is that the quality of the sound, in the divx file, is much better!!!! than the sound i have burned on disc as a VCD.
The sound almost sound "digital"... not as good and clean as the Divx.
My settings are usually 44.100 hz... 224kpbs... stereo 16 bit.....
these are rather standard settings....
do you now something that i could do to make the sound better...

No I didnt say the quality increases by %4, I said the speed and pitch increase by %4, which in most cases is imperceptible anyway.
Typical divx files use mp3 audio, which is actually superior to mp2 so you should expect some quality loss but at 224kbits, mp2 audio is just about as good as mp3 anyway. To minimize quality degragation you should first decompress your divx mp3 audio to wav. Use virtual dub and click file/save wav. I assume your using TMPGenc to process your audio, let me know if its something else. But if you are using TMPGenc you should not use its audio encoder. Go to options/Environmental Settings/External tool. Here you can input an external audio encoder which TMPGenc will use. I recommend toolame, its fast and high quailty. Also if your source audio is 48kHz, which I kinda doubt, then you should use an external frequency rate changer, as TMPGenc's is known to cause problems. SSRC (Shibatch encoder) is a good choice, though somewhat buggy. The place to enter this file is in the same area as the external audio tool section.
Toolame and ssrc shouldnt be hard to find with a web search but they are both linked to at www.doom9.net if you can't find them. -
