What is it exactly...I've been in the dark? Any reason for someone to upgrade? Or would waiting for Vista be better?

It's XP with media add-ons built in. It usually requires a proprietary video card and uses a remote control. It's made to work with a media PC. You can build one, but most are manufactured with the OS installed.
