Don't fall too in love with tha Hauppauge over a an ATI AIW. The Hauppauge has a noticely softer picture, around a 5-pixel radius or so. It's especially obvious in Half D1 mode. So be sure to factor this in while deciding between the Hauppage and the ATI.
Don't worry too much about CPU usage. You should not use the computer while capturing anyway, and your super-powered new CPU won't even take a small dent.

LOL I don't know about superpower but Pentium D maybe which are a far cry better than my P4 and probably MUCH cheaper then buying a new core2 duo

The slowest C2D, the E6300, is a little faster at video encoding and a lot cheaper ($180) than a Pentium D 960 ($342):

Of course, you can get slower Pentium Ds for as little as $90. And relative encoding speeds can vary depending on the encoder.
