Wich SW to join and sync a DVD video with another audio track ?

I have a DVD recording of an F1 GP, but I want to replace the audio with another track. The track comes from a DivX, so after the conversion from mp3 to mpa or whatever with a compatible format, I have to deal with the inevitable little differences in lenght, commercial breaks and so on.
What SW do I need to do this ?

I would suggest something like Vegas because it has some of the best audio editing and adjustments tools around. But you could probably use something like Goldwave as well.
