I am using Windows Media Converter to convert an Avi's to WMV's. Is it possible that I can restrict that amount to CPU power assigned to it so that I can effectively make it run in the background?

You can try lower the priority, press ctrl-alt-del to bring up the windows task manager, click on Processes and locate wmenc.exe and right click and set priority low.
