That actually sounds exactly like what my brother got on his PC. Is it stopping from surfing at all, or are they just like pop-up advertisements ?
Google "Spyware Removal".
Ewido
Spybot
Ad-Aware
are all good IMHO. Also look for a pop-up blocker and possibly even a personal firewall such as Kerio and/or ZoneAlarm. If in doubt, Google it. -
Probably some spyware, yes. Try AdAware or similar.

Consider free download of and install Mozilla. I've been using Mozilla for about 4 years and have never had the first popup, and I'm also running Win2k SP4. Mozilla not only has totally effective popup blocking but spam blocking for email all built into the borwser with no need for third party popup blockers that may be less effective. Note some applications require Internet Explorer, but those sites are the only use I have for Internet Explorer and use Mozilla for everything else.

If all else fail, you can boot from floppy or plug the hard disk to another PC. Delete the Downloaded Program Files folder.
C:\WINDOWS\Downloaded Program Files
