I have converted few DVDs to VCDs (SmartRipper, DVD2AVI, TMPGEnc) and DIVXs to VCDs (VirtualDUB, TMPGEnc + wav from DIVX).
After checking I found that some parts of sound from some made MPEGs had strenght sound, The sound is resonant during when somebody is singing, dogs are barking, let say when sound is using acuteness tone.
The problem is not present every MPEG.
What shall I do?

I don't know if that's what you mean, but TMPGEnc's resampling from 48kHz (DVD) to 44.1kHz (VCD) is fairly bad and introduces lots of artifacts, noticeable mainly when people are speaking.
The easiest solution, in my opinion, is to download SSRC(http://www.milky.ne.jp/~galaxy/ssrc/) and tell TMPGEnc to use it for resampling ("Option">"External Tool">"Sampling Frequency Converter".

Yes the source sound (DVD and DIVX) were in 48kHz.
When I tried to use 44kHz for making VCD from DVD, the sound was w/o any resonance, but were not so dynamic.
I will test it your solution.

there is also an option in dvd2avi to do this, which works well when set on high.

I did it with DVD2AVI, but the sound of VCD were not so dynamic like with 48kHz from DVD2AVI (but resonant).

In that case you should perhaps experiment with DVD2AVI's dynamic range settings. I always turn its "Dynamic Range Control" completely off in order to keep the original dynamic range of a DVD. Additionally, I set "Normalization" to 100 and let "Pre-scale Decision" go through the movie once. I'm very happy with the results that I get this way.
P.S. DVD2AVI's downsampling is very good as well, but it's much slower than SSRC, which is why I prefer the latter. -
But I had the same problems with conversion of DIVX thru VirtualDub. The TMPGEnc used frameserved video stream and savad audio stream as WAV 48kHz
