Alright I've been working on this problem for most of the day including searching the forums. I can't seem to find a solution that fits my problem.
I have a video where the video and audio are out of sync. So I opened it up in VirtualDub and gave me this message.
Now my first instinct was to convert it to the specifications it points out but I haven't the slightest idea how to do it with those numbers.
But while trying to do this I made the .wav file and realized the audio was about 3 minutes shorter than the video. Not sure if this is a result of me extracting the wav or the root of my problem.
The closest I got to a solution wa to use the YAAI program
I used the stretch video feature and sync'd up one part of the video, but it was still messed up in other parts, just differently out of sync. The delay audio feature in the program didn't effect it at all.
I don't plan on making this a mpeg or anything, I just want to fix the audio sync problem.
Any help would be appreciated, Thank you.

Well, VD found the major problem and the bane of AVI... MP3 VBR audio.
(BTW, AC3 can cause similar problems if your software can't handle it properly.)

Use full processing of the audio when you extract the WAV. If the sync is still bad after this, you have a really messed up file.
Fixing it is not simple sometimes.
Two main types of sync problems:
The audio and video length is different. The sync will get progressively worse as the video plays. You adjust the length of one or the other.
The audio and video length is the same, but the audio start is offset from the video start. The sync problem is the same throughout the video.
Change the offset.
This all sounds simple, but you have probably found it's not. A couple of tools to look into that might help; SyncView and Hypercube Time Stretcher.

Well I fixed it slightly after extracting the sudio and padding the begining by about 2 seconds. Its sync'd up perfect in the middle so the ends are still off but their a lot better than before.
Problem is I'm not sure how to go about joining this audio to the video now.
Also wondering if there is a way to encode it to how VirtualDub suggested. In the message.
