I have a 700MB AVI Video file in PAL format...

The dimension of it is 496 X 288

    Bitrate is 184kbps..

I looked at some guides to do this.. But seem kinda confusing...

I want to keep the dimensions the same as stated above once i convert it to WMV... i would even settle for mpeg too...

anyone have any suggestions on doing this?

What I'm about to show you is actually designed for batch encoding, but nonetheless it will work fine on a once-off basis.

Download Windows Media Encoder 9 and install it. Then extract the files from this zip file (all into the same directory), then edit the batch file so that the input and output directories match your input and output directories. Then double-click the batch file and it will proceed to convert all videos present in the input directory, keeping the same frame size for each video, and using VBR in order to retain the most quality, but reducing the filesize normally quite considerably.
    If in doubt, Google it.

There's plenty of PAL to NTSC guides in the guides section:

    If in doubt, Google it.
