  1. Here is what I want to do.
I have a one jpeg picture and I want to add an mp3/wav to it to get an mpeg or avi file.

Just to clarify. After the mpeg or avi file is created, when played, it would have that picture on the screen while the song is playing in the background.

what tool should I use for this?

    thanks in advance

For MPEG i'd use the JPEG and WAV files and convert with TMPGEnc.

ProShow Gold from Photodex can make slide shows with mp3 sound. You should be able to do it with one picture as well.
Older versions used to have problems using NON-mp3 audio. Newer versions might be better. I don't know. But since you are using mp3 anyway, it should be OK.
