    Any tool which can multiplex audio 1 + audio 2 + video including delay settings.

    you can use mplex, which is a command line tool, from mjpegtools. You can find a windows build packaged with dvdauthorgui, or here: http://www.petercheat.host.sk/libav/

    There is also a gui for mplex, but i am unsure how well it works.
