i just bought a Fisher FVD-C1 that records in MPEG-4, and i tried to convert that to a 702x480 AVI file using TMPEnc. but there's a big sync problem (the sound ran ahead of the video by a wide margin). can someone help me out? thx.

I don't think this is an advanced conversion question. I believe this should have been posted in the newbie/general questions.
However,
MPEG-4 video is stored in AVI format. And Tmpgenc is not the ideal tool for working to convert or resize AVI files.
Are you trying to resize the source video? If so, your tool of choice should be VirtualDUB.
What codec are you planning to use for the new video? If you want to keep it, you would probably choose a high compression high quality modern codec, like xVid or DivX, both of which are MPEG-4.
Your audio/video sync loss is probably due to the wrong frame rate selected. Video seems to run slower than audio. As you mention a resolution of nnn X 480, I guess you want NTSC format, so your source video might be captured at 29,97 fps and perhaps Tmpgenc is set to process at 25 fps.The more I learn, the more I come to realize how little it is I know.
