The Hauppage has pure hardware MPEG2 encoding. (they claim)
The ATI has some sort of compromise where some of the
work is done by the graphics hardware on the card and some
by the host CPU. Exactly how this works is an ATI secret. It does an
extremely good job compared with pure software MPEG2 encoders
which can barely keep up and produce low quality.

Quite a while back I talked to an ATI tech guy about their cards at a trade show, questioning him about their "hardware-assisted" MPEG capture. His reply was that there was something like "transactional register memory buffers" for their encoding, and something to help with the math on resizing and de-interlacing. He was very hard to understand, but that was what I got out of it.
One thing I like from the ATI as opposed to dedicated encoders is that everytime I upgrade my PC, I get a performance boost on the ATI. If you're fast, you can have a 1-hour cap playing in your DVD in less than an hour, looking VERY good. Although I must say, VHS is by far the most difficult to deal with. -
