Try extracting the audio from the mpeg1 into a .wav file with VirtualDub, and then converting that and the video file to a mpeg2. Might fix the audio sync problems, otherwise just try some guides from this site.
As for the size, what setttings are you using for Tmpgenc?

Well if you are working with a high enough quality source then I would say use half D1 resolution for your mpeg-2 encoding. This means that instead of 720x480/576 (NTSC/PAL) you would use 352x480/576 (NTSC/PAL). Even using the highest quality setting for MP2 sound (or even if using AC-3 sound) you should still be able to fit 200 minutes per DVD. You will have to play around with the bitrate setting to find what works for you but it seems that most people use a setting of at least 2400kbps upto about 3500kbps for their bitrate settings. The few times I've tried half D1 resolutions I've done VBR with an average of 3000kbps and a peak of 3500kbps. This created a pleasing image to my eye while allowing more than 120 minutes though it could be that those settings might be too high to fit a full 200 minutes. I haven't done half D1 enough to become familiar with what bitrate to use for getting "exactly" X number of minutes per DVD disc.

I've never tried to upconvert VCD (which is usually 352x240 NTSC or 352x288 PAL) so I don't know how well the image will scale up in terms of quality.

Does the sound gradually go out of sync, or does it just suddenly go faster/slower after 20 mins?
This may sound stupid, but it happens to me so often when I have audio sync problems - make sure your TV/DVD Player are set on the same setting of the DVD (eg. PAL/NTSC).
If that fails, try it on a computer or another DVD player; that way you'll know whether it could be compatibility problems with the media you're using and your DVD player.
If you still have no luck, then try my guide here if the audio suddenly goes out of sync, or try this one if it goes out of sync gradually.
    Best of luck,
