Problem With Audio When Converting To Mpeg From AVI

I downloaded xXx (Vin Diesel) and am attempting to convert it to MPEG to burn onto VCD.

I am trying to use VirtualDub to extract the audio but I get an error saying that the sample rate is incorrect. I cannot get it to change from 48000 to 44100. (Tried the full processing mode). If I use directstream copy it will save but TMPGEnc will not add the sound back on when converting.

I have used GSpot to check the codecs and it tells me that my ac3 audio codec is not present but I know it is.

Any Help?

if audio is ac3, install Odio Dekoda
