You have to run two passes when doing a two pass encode. During the first pass a "stats" file is created to keep track of the properties of each frame of the video. During the second pass the stats file is used to portion bits to each frame. You get the "statfile not found" error when you attempt to run the second pass without having run the first pass first.
The first error message is from the codec telling you what's wrong. The second message is a generic message from VirtualDub telling you the codec didn't work.
VirtualDub doesn't automatically run both passes so the fix is to go back and set the codec up to run the first pass, encode the video, then change the codec to run the second (or n'th) pass and encode again.
