    Try this...

    1. Use virtual dub to extract the audio from your AVI file to a .WAV.
    2. Open the WAV in Cool Edit.
    3. Highlight a portion of your wav that is silent(has no background music/FX). Usually spots in between commercial breaks are good as there is usually a 1 second pause before the commercial starts.
    4. Click on Transform->Noise Reduction->Noise Reduction..
    5. Click "Get Profile From Selection"
    6. Click CLOSE (Do not click OK)
    7. Highlight your entire audio file.
    8. Go back into the noise reduction filter(See step #4) and click OK.
    9. Let Cool Edit work its magic. This could take a while.
    10. Save the final wav.
    11. Go back into Virtual Dub and load your avi file.
    12. Click Audio->Wav Audio and select your cleaned .WAV
    13. Frameserve to TMPGEnc.

    I used Sound forge and just opened the AVI file and used the graphic equalize option to put the audio through a low pass filter to get out the noise. I like Sound Forge a lot, but I mostly have it because it came with my Sound Blaster Live card.
