Hi Folks,
noob in need of some help here.
I have a 700mb avi and a 92kb srt that I want to burn onto a VCD.
I don't want to hard encode it or whatever, and I do have ConvertXtoDVD, but then of course I'm trying to burn a VCD.
What's an easy way to burn a srt along with avi onto a VCD without losing too much quality?

You must hard encode/burned in subtitles if you are making a VCD because it doesn't support switchable subtitles. I would try the oooold good dvd2svcd.

ok.. installed dvd2svcd & TMPGEnc. I pointed dvd2svcd to the TMPGEnc folder. now what do I do? I mean, I don't have a dvd to rip.

Well, you might try looking for a guide on using DVD2SVCD. Surely you can do a web search. Also, I believe the official DVD2SVCD website has documentation.
You will lose quality when converting to VCD. That's just the nature of the format. VCD uses a very low bitrate and you can't expect DVD-like quality from it.
