Source file is 6.24GB TS which I used which was created from Hauppauge and its included Total Media Extreme 2 capture software which I have been using for years.
In the past I have used these captured files and converted to MP4 with a smaller size using Handbrake with no issues. Done that several times.
The attempt was to save to MP4 using 9000mbs bitrate to get the file to about 4gb. Set the Audio to AC3 using ffmeg. I'm not an expert on these issues so thanks for any advice.

I also tried AVCHDCoder but received the error "an error occurred while encoding video". I also had another source file (MPEG2 raw TS) which also received the same error. Maybe I'm not using AVCHDCoder correctly ? (but that's another topic).
Maybe a key piece is missing in Handbrake? I am using the version 0.9.9 i686.

Clarifying your steps here:
You’re using Hauppauge and hence WinTV 7 to capture and then using ArcSoft TotalMedia Extreme 3 to edit? Then using Handbrake in order to downsize the edited file? -
Hauppauge comes with included software "Total Media Extreme2" which does the capture. It's a good program that caps in AVCHD and can be set to 13.5mbs constant at maximum which I use all the time. I use VideoRedo to edit. I don't think the capture or edit is the problem since I have used Handbrake with that source file many times.
I uninstalled and reinstalled Handbrake yesterday and now all conversions are failing. The output target file is indeed produced but MediaInfo doesn't show the Video or Audio section and VLC can't even play it. Very strange.
i even tried AVCHDCoder to encode but even that is failing - not just Hauppage capture but a raw TS MPEG2 I had from another source. Maybe I don't know how to use AVCHDCoder (not as intuitive as it should be).
maybe something is wrong with the laptop.
However, I've seen that MediaInfo situation before (no Video & Audio information)..just don't remember what was the fix. -
ok, i think the problem was that I was using Variable bitrate while setting to 6000 Average bitrate (instead of Constant Quality); I should have used Constant bitrate while setting to 6000 Average bitrate. Leave the Audio portion to AAC for the output (instead of AC3).

well i'm no expert so the above was probably not correct regarding Variable vs. Constant bitrate which I now think is irrelevant. Leaving the Audio portion to AAC does seem to make a difference. Howver this was tried on a raw MPEG2.
my problem on the source video in question may have originated with the fact that it was a Join of 3 separate files done in VideoRedo. So Handbrake encodes but leaves no trace of Video or Audio in MediaInfo nor does VLC play.
TSMuxer can remux in TS or M2TS but when set manually to Mux in CBR (to reduce size at 8000kps) gets the message
vbv buffer overflow at position xxxx, repeatedly.
googling this error I can't find a solution -
The problem was that your first MP4 encode didn't complete for some reason. The MP4 header information is written at the very end of the process. If MediaInfo shows no information that header wasn't written. There's probably something wrong with your source file. Try remuxing it into an MKV container with MMG -- it's much more resilient than most muxers. Then reencode that with Handbrake to reduce the size.

- original source file 6.24GB was demuxed by TSMuser
- muxed the video/audio pieces in MkvmergeGui as advised, this created a 6.05GB file
- took this 6.05GB file and re-encode with Handbrake at about 9000kb, producing a 3.97GB MP4 file with perfect audio sync
