want to add subtilte to mp4 (H264)

i have download a movie that was mkv. (video H264 , AUDIO AC3)
i separat the files and got the audio file and the viedo file.
now i want add subtitle (hardcore) and mux it into MPEG4 AVC as quick as possible and esayst way.
it do it becuse i have a LCD TV philps 42" 7404H and it can reads only H264 FILES in MPEG4 formats.

how long takes the convert? and what happend to the quality?

2-24hours for a movie as it depends on your computer. The quality will be very good even if you reconvert.
