I use VirtualDub Mod for MPEGs or AVI type formats. You can demux or save out the audio as a WAV. I use the WAV in the freeware audio editor Audacity to edit and convert to MP3 with the addition of LAME MP3.

MPEGs may use MP2 or AC3 or other audio formats, so you may need to install a AC3 decompresser or others for VDM to read those files. The newer VD can also do this, but you need to add plugins.

MP4s may be a bit more difficult, depending on the video and audio formats.

First, demux (fancy technical term for "extract") the audio from the video file. Various programs can be used for this. Then once you have a separate audio file, something like BeSweet GUI can be used to convert to MP3.

AOA Audio Extractor is as simple as it gets, if you just want the audio track.
